It is possible to obtain the IRC server software from Undernet and other 
places, but I suspect that you may be over-complicating things here.

With IRC, e.g. Undernet, you can easily set up your own completely private 
channels with access restricted to your own selected users.  Also using 
the Undernet network it means that your users can access your private channel 
and participate in the chat even if they are in another part of the world e.g. 
on a business trip or on vacation.  It also means that friends and relatives 
of your users who may be in other parts of the world could participate in the 
channel as well by invitation. This I would suggest is your best route.
