The solution was to replace that card with an ISA based one(*)... NE2000 cards however are not a good solution, neither ISA nor PCI. The lack of shared memory is a real bad idea. (*) and to turn OFF plug and play for this card with the configuration program furnished by the manufacturer of that card. And don't forget to set the IRQ of that card to "used by ISA" in your BIOS. I would go (for 10Mbit/sec) with some sort of SMC 8216 card on ISA. As for your graphics card and XFree86, I have no idea...
