From the INSTALL.src file:

  To compile teTeX, you need gcc, flex and a recent version of GNU make.
  gcc-2.5.8, flex-2.4.7 and GNU make-3.72.1 or newer should be ok.

Are you using GNU make?

I've compiled teTeX 0.3.4 on a 2.0.5 system with relatively few
problems -- it's been a while, though.
