It essentially overwrites the existing system, and attempts to merge /etc. You'll end up with about 10 files that you'll need to merge manually (things like sendmail.cf etc). If you go for this option and have /usr/src installed, I'd suggest moving or removing it before doing the upgrade. The upgrade doesn't remove old files.
